Such measures shall encompass, without limitation, encryption protocols, access controls, authentication mechanisms, intrusion detection systems, regular security audits, vulnerability assessments, penetration testing, business continuity planning, disaster recovery protocols and incident response procedures, all in accordance with the standards prescribed under the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, and any other applicable data protection legislation.

The Company reserves the right, exercisable at its sole discretion and upon reasonable prior notice (except in circumstances exigencing immediate action), to conduct audits, inspections, examinations or reviews of the Client's records, documents, information systems, premises or processes to the extent reasonably necessary to verify compliance with the terms of this Agreement, applicable laws, regulatory requirements, anti-money-laundering norms, know-your-customer obligations, or to investigate any suspected breach, fraud, misrepresentation or unlawful activity. The Client shall extend full cooperation, access and assistance to the Company or its authorised representatives in connection with any such audit or verification exercise.
The Company may, where warranted by the circumstances, engage independent third-party auditors, forensic experts, compliance consultants or regulatory bodies to conduct such audits or investigations, and the Client shall bear all costs, expenses and fees associated therewith in the event that any material breach, non-compliance, fraud or irregularity is discovered attributable to the Client.

The Client shall not be entitled to assign, transfer, novate, delegate, sub-license or otherwise dispose of any of its rights, obligations or interests under this Agreement without the express prior written consent of the Company, which consent may be withheld in the Company's sole and absolute discretion.
The Company reserves the unrestricted right to subcontract, outsource, delegate or engage third-party service providers, consultants, professionals, experts or associates to perform any or all of its obligations under this Agreement, provided that the Company shall remain primarily responsible and liable to the Client for the due performance of such obligations in accordance with the terms herein.
In the event that any provision, clause, sentence, phrase, word or portion of this Agreement is adjudged, declared or determined by any court of competent jurisdiction, arbitral tribunal, regulatory authority or other competent adjudicatory forum to be illegal, void, invalid, unenforceable, ultra vires, repugnant to any law, or contrary to public policy, such provision shall be deemed severable from the remainder of this Agreement and shall be of no force or effect whatsoever, without in any manner impairing, invalidating, affecting or prejudicing the legality, validity, binding effect or enforceability of any other provision herein.
Furthermore, in accordance with the doctrine of severability and the blue pencil rule, the parties hereby expressly agree and authorise any court, tribunal or authority of competent jurisdiction to modify, restrict, limit, read down or excise the offending provision to the minimum extent necessary to render it legal, valid and enforceable, whilst preserving to the greatest extent possible the original intent, commercial purpose and economic substance of the parties' agreement.
This Agreement, together with all schedules, annexures, appendices, addenda and documents expressly incorporated herein by reference, constitutes the entire, complete, exclusive and final agreement between the parties with respect to the subject matter hereof, and supersedes, extinguishes and replaces all prior discussions, negotiations, representations, warranties, understandings, arrangements, agreements, drafts, correspondence, memoranda, whether oral or written, express or implied, statutory or customary, relating to the subject matter hereof. The parties acknowledge that they have not relied upon any representation, warranty, statement, assurance, promise or undertaking not expressly set forth in this Agreement.
This Agreement embodies the complete and final expression of the parties' bargain and the merger of all prior negotiations, discussions and understandings, and no extrinsic evidence, parol evidence, course of dealing, usage of trade or prior conduct shall be admissible to contradict, vary, supplement, modify or explain the terms hereof, except to the extent necessary to resolve an ambiguity or to establish fraud, misrepresentation, mistake, duress, undue influence or unconscionability.
All notices, requests, demands, consents, approvals, authorisations, waivers, claims, communications or other formal instruments required or permitted to be given under this Agreement shall be in writing and shall be deemed to have been duly given, served, delivered or received: (i) if delivered personally, upon actual receipt; (ii) if sent by registered post with acknowledgement due, upon the date of receipt as evidenced by the acknowledgement; (iii) if sent by courier or reputable messenger service, upon the date of delivery as evidenced by the delivery receipt; (iv) if sent by electronic mail, upon transmission, provided that a read receipt or delivery confirmation is obtained; or (v) if sent by facsimile, upon transmission confirmed by a successful transmission report.
All notices shall be addressed to the parties at their respective addresses as set forth herein or at such other address as either party may designate by written notice to the other party in accordance with this clause. Any notice sent to the Company shall be addressed to its registered office or principal place of business, and any notice sent to the Client shall be addressed to the email address, postal address or contact details provided by the Client at the time of registration or as subsequently updated by the Client.
No failure, delay, indulgence, forbearance, omission, neglect or laxity on the part of the Company in exercising any right, power, privilege, remedy or recourse under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, privilege, remedy or recourse preclude any other or further exercise thereof, or the exercise of any other right, power, privilege, remedy or recourse. The Company's rights and remedies under this Agreement are cumulative and not exclusive, and the exercise of one right or remedy shall not constitute an election of such right or remedy to the exclusion of any other rights or remedies.
A waiver of any breach of any provision of this Agreement shall not be deemed to be a waiver of any preceding or succeeding breach of the same or any other provision, nor shall any waiver constitute a continuing waiver unless expressly so stated in writing and signed by an authorised representative of the Company. No waiver shall be effective unless in writing and signed by the party granting the waiver, and any waiver may be revoked at any time by written notice to the other party.
Time shall be deemed to be of the essence of this Agreement in respect of all dates, timelines, deadlines, periods and stipulations set forth herein, unless otherwise expressly provided in writing by the Company. The Client shall strictly and punctually perform all obligations, covenants and conditions required to be performed by it within the timeframes stipulated herein, and any delay, default or failure to perform within the prescribed time shall constitute a material breach of this Agreement, entitling the Company to exercise all rights and remedies available to it under this Agreement and at law, including but not limited to suspension, termination, forfeiture, indemnification and damages.
The Company shall not be liable for any delay, default or failure in performance occasioned by the Client's non-cooperation, non-furnishing of information, non-payment, or any act or omission on the part of the Client, and all timelines shall be correspondingly extended by the period of such delay or default, without prejudice to the Company's other rights and remedies.
All rights, powers, remedies, reliefs, privileges and recourses available to the Company under this Agreement, at law, in equity, by statute or otherwise, shall be cumulative and non-exclusive, and the exercise or enforcement of any one or more of such rights, powers, remedies, reliefs, privileges or recourses shall not preclude, restrict, bar or prejudice the simultaneous or subsequent exercise or enforcement of any other right, power, remedy, relief, privilege or recourse. The Company shall be entitled to pursue and avail itself of all available remedies concurrently or successively, without any requirement to elect between them.
The rights and remedies of the Company under this Agreement are in addition to, and not in substitution for, any rights or remedies available to the Company under any applicable law, rule, regulation, or any other agreement, and no provision of this Agreement shall be construed to limit, waive, exclude or modify any such right or remedy, except to the extent of any express inconsistency, in which case the express provision shall prevail.
The Client acknowledges and agrees that monetary damages alone may not constitute an adequate or sufficient remedy for any breach of the confidentiality provisions, intellectual property provisions, non-compete obligations, or any other provision of this Agreement involving proprietary information, trade secrets, or unique and irreplaceable services, and that the Company shall be entitled, in addition to any other rights and remedies available to it, to seek and obtain injunctive relief, specific performance, temporary restraining orders, preliminary or permanent injunctions, or other equitable relief from any court of competent jurisdiction to prevent, restrain, enjoin or remedy any actual or threatened breach of this Agreement, without the necessity of posting any bond or proving actual damages.
The Client waives any defence or objection based on the adequacy of legal remedies, the balance of convenience, or any other ground that may be asserted against the grant of injunctive relief or specific performance, and agrees that the Company shall be entitled to such equitable relief without any requirement to demonstrate irreparable harm or inadequacy of monetary damages.
In the event that any dispute, controversy, claim, action, suit, proceeding, arbitration or litigation arises out of, relates to, or is connected with this Agreement, its interpretation, performance, breach, termination, validity or enforceability, or any alleged violation of any legal right, the prevailing party shall be entitled to recover from the non-prevailing party all reasonable costs, expenses and disbursements incurred in connection therewith, including but not limited to: (i) reasonable attorney's fees, counsel fees and legal professional fees; (ii) court fees, filing fees, arbitration fees, administrative fees and tribunal fees; (iii) expert witness fees, consultant fees and professional advisor fees; (iv) costs of investigation, discovery, document production, depositions and hearings; (v) travel expenses, accommodation expenses and subsistence expenses; (vi) costs of transcripts, exhibits, evidence and other litigation materials; and (vii) any other costs, charges or expenses reasonably incurred in the prosecution or defence of such matter.
The term "prevailing party" shall mean the party who obtains substantially the relief sought in the action, proceeding or arbitration, or as determined by the court, tribunal or arbitrator based upon the relative success of the parties' respective positions, irrespective of whether any monetary judgment is actually entered or collected.
The provisions of this Agreement relating to confidentiality, non-disclosure, intellectual property rights, indemnity, limitation of liability, governing law, dispute resolution, arbitration, jurisdiction, attorney's fees, survival of obligations, and any other provision which by its nature is intended to survive the termination, expiration, rescission, cancellation or completion of this Agreement, shall expressly survive the termination, expiration, rescission, cancellation or completion of this Agreement and shall continue in full force and effect for such period as may be specified herein or, where no period is specified, in perpetuity or for such period as may be necessary to give effect to the intended purpose of such provision.
The obligations of the Client to pay all fees, charges, costs, expenses, taxes, levies and other amounts due and payable to the Company shall survive the termination or expiration of this Agreement, and the Company shall be entitled to pursue all available remedies for the recovery of such amounts, together with interest, costs and charges, notwithstanding the termination or expiration of this Agreement.
Nothing contained in this Agreement shall be construed or interpreted to create, establish, constitute or imply a partnership, joint venture, agency, fiduciary relationship, employer-employee relationship, franchise, franchisee-franchisor relationship, principal-agent relationship, or any association or collaboration between the parties other than that of independent contractor and client. The Company is and shall remain an independent contractor, and nothing in this Agreement shall authorise either party to act as an agent, representative or legal representative of the other party, or to bind, obligate or commit the other party in any manner whatsoever.
Neither party shall have any authority, express or implied, to act for, on behalf of, or in the name of the other party, or to make any representation, warranty, promise, undertaking or commitment on behalf of the other party, nor shall either party hold itself out as having any such authority. Each party shall be solely and exclusively responsible for its own taxes, contributions, withholdings, insurance, benefits, obligations and liabilities, and no party shall be entitled to any benefit, right, privilege, protection or entitlement applicable to employees, partners, agents or representatives of the other party.
The Client covenants, warrants and undertakes to strictly comply with all applicable laws, statutes, ordinances, rules, regulations, notifications, directives, guidelines, orders, judgments, decrees and other legal requirements applicable to its business, operations, activities, transactions and conduct, including but not limited to: (i) the Companies Act, 2013 and rules thereunder; (ii) the Limited Liability Partnership Act, 2008 and rules thereunder; (iii) the Foreign Exchange Management Act, 1999 and regulations thereunder; (iv) the Income Tax Act, 1961 and rules thereunder; (v) the Goods and Services Tax laws; (vi) the Prevention of Money-Laundering Act, 2002; (vii) the Foreign Contribution Regulation Act, 2010; (viii) the Securities and Exchange Board of India regulations; (ix) the Reserve Bank of India regulations; (x) any other central, state or local laws, rules, regulations or requirements applicable to the Client's business or industry.
The Client shall obtain and maintain all necessary licences, permits, registrations, authorisations, approvals, clearances, consents and compliances required for its business and operations, and shall furnish to the Company such evidence of compliance as may be reasonably requested. The Client shall indemnify and hold harmless the Company against any loss, damage, liability, cost, expense, penalty, fine, forfeiture or prosecution arising from any breach, non-compliance, violation or contravention of any applicable law by the Client.
The Client hereby represents, warrants and covenants to the Company as follows: (i) it has full legal capacity, authority, power and right to enter into this Agreement and to perform its obligations hereunder; (ii) the execution, delivery and performance of this Agreement has been duly authorised by all requisite corporate, partnership, proprietorship or other approvals and does not violate any agreement, instrument, judgment, decree, order or law to which it is bound; (iii) all information, documents, data and materials furnished by the Client to the Company are true, accurate, complete, correct, authentic and not misleading in any material respect; (iv) the Client is not involved in, nor does it have any intention to engage in, any fraudulent, illegal, unlawful, unethical or prohibited activity; (v) the Client has not been convicted of, nor is any proceeding pending against it for, any offence involving fraud, moral turpitude, financial impropriety, money-laundering, terrorist financing, bribery or corruption; (vi) the Client is not on any sanctions list, watch list, debarment list or prohibited persons list maintained by any governmental or regulatory authority; and (vii) the Client shall promptly notify the Company in writing of any change in any of the foregoing representations and warranties.
The Client acknowledges that the Company has relied upon the foregoing representations, warranties and covenants in entering into this Agreement and in providing the Services, and that any breach, inaccuracy or falsity of any such representation, warranty or covenant shall constitute a material breach of this Agreement, entitling the Company to terminate this Agreement immediately and to pursue all available remedies.
